These Terms of Service (“Terms”) govern your access to and use of the website at https://www.nagoginnovation.com (the “Website”) operated by Nagog Innovation Technology Inc. (“Nagog,” “we,” “us,” or “our”).
By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, do not use the Website.

If you are accessing the Website on behalf of an organization, you represent that you have authority to bind that organization. Nothing on the Website constitutes a binding offer to provide services. Engagements for our actual BPO and Amazon-related services are governed by a separate written Master Service Agreement (“MSA”) between Nagog and the client.

We grant you a limited, non-exclusive, non-transferable, revocable license to view the Website content for your personal or internal business use.

- Use Website content for any commercial purpose
- Use Nagog trademarks, service marks, or logos in any manner

- You are not obligated to provide any information; participation is voluntary

THE WEBSITE AND ALL CONTENT, MATERIALS, AND INFORMATION AVAILABLE ON OR THROUGH THE WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.
NAGOG DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. WITHOUT LIMITING THE FOREGOING, NAGOG DOES NOT WARRANT THAT:
- The Website will operate without interruption or error
- The Website will be free of viruses or other harmful components
- Information on the Website is accurate, complete, current, or reliable
- Marketing or descriptive content on the Website constitutes a binding service commitment

8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NAGOG’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE WILL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD $100).
IN NO EVENT WILL NAGOG, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- Any indirect, incidental, special, consequential, exemplary, or punitive damages
- Loss of profits, revenue, business opportunity, goodwill, or anticipated savings
- Loss, corruption, or unauthorized disclosure of data
This limitation applies regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if Nagog has been advised of the possibility of such damages.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you in full.
9. Indemnification
You agree to defend, indemnify, and hold harmless Nagog and its affiliates, officers, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your breach of these Terms, your violation of any law, or your infringement of any third-party right.
10. No Professional Advice
The Website is for general informational purposes and does not provide legal, financial, medical, compliance, or other professional advice. You should not act or refrain from acting based on Website content without seeking advice from a qualified professional. Specific business engagements with Nagog are governed by separate written agreements.
11. Governing Law & Jurisdiction
These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or relating to these Terms or your use of the Website that is not resolved through informal discussion will be brought exclusively in the state or federal courts located in Middlesex County, Massachusetts. You consent to the personal jurisdiction of those courts. The foregoing does not prevent either party from bringing a claim in small claims court within the same jurisdiction where the claim is eligible.
12. Dispute Resolution
Before filing any formal action, you agree to attempt to resolve the dispute informally by sending a written notice describing the dispute to info@nagoginnovation.com. Nagog and you will then attempt in good faith to resolve the dispute within 30 days of the notice. If the dispute is not resolved within that period, either party may proceed with formal proceedings as set out in Section 11.
We do not require mandatory arbitration, and we do not seek to waive your right to participate in a class action.
13. Changes to Terms
We may modify these Terms at any time. For material changes, we will post a notice on the Website at least 30 days before the change takes effect and update the “Effective Date” at the top of this document. Your continued use of the Website after the effective date of a modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Website.
14. Termination
We may terminate or suspend your access to the Website at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Website immediately ceases. Sections 7, 8, 9, 11, and 12 survive termination of these Terms.
15. Miscellaneous
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later.
Entire Agreement. These Terms, together with any documents they expressly incorporate by reference (including the Privacy Policy), constitute the entire agreement between you and Nagog concerning the Website and supersede all prior or contemporaneous communications.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
